- These shares were sold by a spousal trust established by the Reporting Person for the benefit of the Reporting Person's spouse and children. The Reporting Person's spouse is a co-trustee of the trust, to which the Reporting Person contributed by gift 350,000 Company Common Shares in a transaction that resulted in a change in the form of beneficial ownership from direct to indirect. The spousal trust's sales were effected pursuant to a written Rule 10b5-1 trading plan adopted by the spousal trust on August 6, 2013 following the recommendation of the spousal trust's financial adviser to diversify the trust's assets.
